Terms of Service

These Terms of Service ("Terms") govern your use of the MemPoint application and related services ("Service") provided by Olano Tech LLC ("Company", "we", "us", "our"), operating as MemPoint. By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 18 years old and agree to comply with these Terms. If you do not agree, you may not use the Service.

2. Account Responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must provide accurate and complete information when creating your account.
  • You must notify us immediately of any unauthorized use of your account.

3. Subscriptions & Billing

MemPoint offers free and paid subscription plans.

  • Paid subscriptions are billed in advance on a monthly basis via Stripe.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
  • We do not provide refunds for partial billing periods.
  • We reserve the right to change pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations.
  • Upload or transmit malicious code, viruses, or harmful content.
  • Attempt to gain unauthorized access to the Service or its related systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use the Service for any purpose other than personal journaling and memory management.
  • Resell, redistribute, or sublicense access to the Service.

5. Intellectual Property

  • Your content: You retain all ownership rights to the journal entries and content you create using the Service. By using the Service, you grant us a limited license to process your content solely to provide and improve the Service.
  • Our service: The Service, including its design, code, features, and branding, is owned by Olano Tech LLC and protected by intellectual property laws. You may not copy, modify, or reverse-engineer any part of the Service.

6. Limitation of Liability

To the maximum extent permitted by law, Olano Tech LLC and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill arising out of or related to your use of the Service.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. Data Export & Account Deletion

You may export your journal data or request full account deletion at any time by contacting our support team. Upon account deletion, all personal data, journal entries, and AI-generated content will be permanently and irreversibly removed from our systems within 7 days.

8. Termination

  • You may delete your account at any time by contacting support. Deletion is permanent and irreversible.
  • We may suspend or terminate your account if you violate these Terms or engage in conduct that we reasonably believe is harmful to other users, the Service, or Olano Tech LLC.
  • Upon termination, your right to use the Service ceases immediately.

9. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of the Commonwealth of Massachusetts.
